Terms of Service

Please read these Terms carefully. Section 15 requires individual arbitration and waives class actions, unless you opt out within 30 days.

1. Who we are and agreement

These Terms of Service ("Terms") are an agreement between you and Blue Jinjer, LLC, a Delaware limited liability company doing business as Counterlease ("Counterlease," "we," "us"), [BUSINESS ADDRESS]. They govern your use of counterlease.com and related services (the "Service"). By checking the box to accept, creating an account, uploading a document, or purchasing, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old.

2. NOT A LAW FIRM. NOT LEGAL ADVICE. NO ATTORNEY-CLIENT RELATIONSHIP.

Counterlease is not a law firm and is not a substitute for a lawyer. We provide general legal information and self-help software tools. We do not provide legal advice, legal opinions, or representation. Using the Service, including our reports, scripts, checklists, deadline information, and letter templates, does not create an attorney-client relationship or any confidential or privileged relationship. No attorney reviews your specific documents or situation. For advice about your situation, especially an eviction, lawsuit, discrimination, or unsafe housing, consult a licensed attorney in your state or a local legal aid or tenant organization.

3. What the Service does

The Service may: (a) analyze lease text you upload and flag clauses that may be worth reviewing; (b) generate negotiation scripts and messages you may edit and send; (c) provide a move-in photo checklist that records timestamps and SHA-256 file fingerprints; (d) show general deposit-return deadline information for supported states; (e) generate deposit demand letter templates; and (f) let you record outcomes of requests you make. Features and supported states may change.

4. AI output may be wrong — you must verify

The Service uses artificial intelligence and automated systems that can produce errors, omissions, out-of-date information, or misinterpretations. Laws vary by state and city and change frequently. Labels such as "risky," "red flag," or "may conflict with state law" are not legal determinations; only a court can decide whether a term is enforceable. You are responsible for reviewing all output, checking it against your lease and current law, and deciding what to do. Do not rely on the Service as your only source of information for any legal or financial decision.

5. No guarantee of outcomes

We do not guarantee any result, including that a landlord will agree to any request, change any lease term, lower rent or fees, or return any part of your security deposit. Photo timestamps and fingerprints help show that a file has not changed since upload; we do not guarantee that any court, landlord, or other party will accept them as evidence.

6. Your responsibilities and what you send

You are solely responsible for (a) the documents, photos, and information you upload, and that you have the right to upload them; (b) any message, letter, or communication you choose to send to a landlord or anyone else, including its accuracy and tone; and (c) meeting your own deadlines. We do not send communications to your landlord on your behalf. Do not upload Social Security numbers, bank account numbers, or other information not needed for the Service; we may automatically redact such data.

7. Accounts

Keep your login credentials secure. You are responsible for activity under your account. Tell us promptly at support@bluejinjer.com about unauthorized use.

8. Purchases, pricing, and payment

Beta Period: During the public beta, free limited lease checks are available (2 per day, rate-limited by IP and email) with the top 3 flagged clauses and plain-English explanations. No payment required during beta.

Paid Features (Launching Soon): Lease Report ($9, one lease); Full Protection bundle ($19, one tenancy: report plus move-in checklist, deadline reminders, demand letter template, and data storage until 90 days after move-out). Prices are in US dollars, exclude applicable taxes, and are charged once at purchase (no subscription) unless clearly stated otherwise. Payments will be processed by Stripe; we do not store full card numbers. We may change prices for future purchases.

9. Refund policy

If a purchased report could not be generated, your file could not be read, or a technical failure prevented delivery, contact us within 7 days of purchase at support@bluejinjer.com for a full refund. Other refund requests within 7 days are considered in good faith at our discretion. Refunds are not available because a landlord declined a request or a deposit was withheld. Nothing in this section limits rights you have under applicable law.

10. Data retention and deletion

We keep your uploaded files, photos, and reports until 90 days after the move-out date in your account (or, if none is entered, 12 months after purchase). At least 14 days before scheduled deletion we will email you a notice with a way to export your data. You may request earlier deletion at any time. We may retain limited records (e.g., purchase records, consent logs, de-identified aggregate data) as required by law or as described in the Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Delaware. [NOTE: Attorney must confirm governing law and jurisdiction provisions before publication]
